1. Introduction

Welcome to Ashton Logistics (“Company,” “We,” “Us,” or “Our”). This Agreement governs your use of our website (https://www.ashtonlogistic.com) and our freight dispatch and logistics services (“Services”). By accessing or using our Services, you (“Client” and/or “Carrier”) agree to be bound by this Agreement. If you do not agree with any part, please do not use our Services.

2. Definitions

  • Client/Carrier: The individual or entity engaging our Services.
  • Services: Freight dispatching, transportation management, load matching, documentation handling, and regulatory compliance support.
  • MC Number: The Motor Carrier Number issued by the FMCSA.
  • Dispatcher: Ashton Logistics, acting as a non-exclusive representative authorized to secure freight, negotiate rates, and execute related documentation on your behalf.

3. Scope of Services

  • Freight Dispatch & Booking: Acting as your administrative agent to contact brokers, negotiate rates, secure loads, and execute rate confirmations.
  • Documentation & Communication: Facilitating communication with brokers and ensuring the completion and transmission of required shipping documents.
  • Regulatory & Compliance Support: Assisting with FMCSA/DOT requirements and ensuring documentation accuracy.

Note: The Dispatcher is not a licensed freight broker and is not responsible for the performance or conduct of third-party carriers or brokers.

4. Term and Termination

  • Term: This Agreement begins on the effective date and continues for one (1) month, automatically renewing unless terminated.
  • Termination:
    • Either party may terminate without cause with 7 days’ written notice.
    • Immediate termination may occur for breach, non-payment, insolvency, or fraudulent activity.
    • Termination does not relieve the Client/Carrier of any outstanding payment obligations.

5. Payment Terms

  • Fee Structure: 4–10% of the gross revenue for loads booked through our Services.
  • Billing Cycle: Invoices are generated every Monday and are payable upon receipt.
  • Additional Charges: Detention, tolls, or other accessorial charges will be billed separately.
  • No Chargebacks: Payments are final; no chargebacks permitted.
  • Billing Disputes: Must be raised within 15 days of the invoice date.

6. Responsibilities and Duties

6.1. Client/Carrier Responsibilities

  • Provide accurate and current information (e.g., name, MC Number, equipment details).
  • Comply with all applicable laws and regulations.
  • Verify that engaged carriers meet required insurance and licensing standards.
  • Maintain safe operation of equipment and ensure timely delivery of goods.
  • Refrain from subcontracting or reassigning loads without prior written consent.

6.2. Dispatcher Responsibilities

  • Act as a non-exclusive representative to secure freight loads.
  • Negotiate rates, execute rate confirmations, and generate invoices.
  • Facilitate communications with brokers and complete all required load documentation.

7. Insurance, Loss, and Liability

  • Insurance: Client/Carrier must maintain liability and cargo insurance.
  • Loss, Damage, and Delay: Client/Carrier is solely responsible once freight is in possession.
  • Limitation of Liability: Our Services are provided “as is” without warranties.

8. Disclaimers

The Dispatcher is not responsible for billing issues, load disputes, advances, or paperwork handling unless otherwise agreed.

9. Subcontracting Prohibition

All freight must be transported using equipment operated solely under the authority of the Client/Carrier. No subcontracting is allowed without written consent.

10. Limited Power of Attorney

The Client/Carrier grants the Dispatcher a limited power of attorney to act solely for dispatch services, including negotiating with brokers and executing load-related documents.

11. Notices

All notices must be delivered via email to info@ashtonlogistic.com.

12. Additional Provisions

  • Severability: If any provision is invalid, the rest remains in full force.
  • Complete Agreement: This document constitutes the entire Agreement.
  • Modifications: Any amendments must be in writing and signed by both parties.

13. Governing Law and Dispute Resolution

  • Governing Law: This Agreement is governed by the laws of Pennsylvania.
  • Arbitration: Any disputes shall be resolved by binding arbitration under AAA rules in Pennsylvania.
